accounting ah young we are live welcome.to the February 2014 QuickBooks for.contractors hangout tonight we go to.interesting hangout and I'm going to.talk about the tale of two very very.different payroll and certified payroll.processes and it should be fun.I think as long as everything works just.peachy so everybody like keep your.fingers crossed for me I am going to.share my screen and let's make sure girl.is in the mist oh yeah I know let's say.I don't want to share that are you sure.I'll be good there's always the thing.that doesn't work okay that didn't.screen share all right hold on.all right I think I'm gonna have to.screen share these one at a time.dret okay tale of two payroll clerks and.their payroll and certified payroll.processes meet me I was Molly Manuel.back o.1998-1999 I was using QuickBooks Pro 99.I had the payroll subscription excel and.a whole bunch of spreadsheets my task.was a hundred and twenty-five employees.that I paid every week over five jobs in.two states three different unions and it.took me more than 40 hours every.and I did this in addition to payroll.for a bunch of other clients I was not a.happy camper and I swear I look just.like this girl you know I had the crap.all over my desk you know that and that.face.that was me every every Monday morning.bright and early I'd get umpteen.different time sheets on different.pieces of paper nothing was the same.some of them actually had muddy boot.prints in the middle of them from there.I took all of that data and I put it.into a whole bunch of spreadsheets.before I ever started to do payroll I.had to have a wage decision list to make.sure that I had all the right rates of.pay on each one of the jobs I had an.employee pay rate sheet in case the.employees worked under more than one.work classification and I needed to keep.everything straight then of course I had.to hit make sure my job information was.all updated for when I submitted the.certified payrolls and then I sat down.in to with the cumbersome task of doing.a timesheet by job because that this was.back in Connecticut and everything was.based on this job so I had all these.cute spreadsheets then I got to go into.QuickBooks and job Trust all the time.and run payroll and yes that graphic.right there is actually a scanned in.image of my QuickBooks Pro 99 little CD.package it was amazing I went and put my.hands right on it so once I got payroll.cut then I had to turn around and fill.out certified payroll reports statements.of compliance EEOC report.and then to make matters even more fun I.still had union dues and Union fringe.benefit reports it was a nightmare and.really I hated my job and if you had.asked my boss if the payroll process was.efficient he would have told you yes.because I was using Excel spreadsheets.to automate all this stuff instead of.having to handwrite it wrong answer.it's also and the reasons they became a.third party developer I figured I.couldn't be the only person who needed.this kind of functionality out of.QuickBooks but of course back then there.was no way to do a QuickBooks third.party app so now let's fast forward the.year is 2014.the software is QuickBooks Pro 2014.enhanced payroll TSheets.and our certified payroll program the.task is still 125 employees five jobs.two states three unions and I guarantee.you that today I could do all of that in.less than eight hours every week so the.automated process which also makes a me.automated a much happier camper look at.that she's got a clean desk we use tea.sheets to automate time tracking with.Android iPhone iPad GPS browser tweets.phone in all of these different methods.to get your time in to something other.than a timesheet that somebody steps on.QuickBooks and a payroll subtext.subscription will calculate your wages.your payroll taxes it can track Union.and bonafide plan fringes they're just.nothing more than company contributions.you can track workers comp and general.liability insurance accruals and you can.track employee deductions child support.union dues etc.off comes our software you can do paper.or federal or sorry federal or state.paper returns plus machine readable.files for electronic upload to LCP.tracker my LCM elation systems choose.from 30 federal state and local.Yosi reports and it will also do union.and bona fide plan and dues reports so.with that hold on just a second let me.stop this screen share and let me go to.TSheets Gaetti sheets.so here I've entered employee time I've.gone through and I've approved it.they're not they're not tax preparers.that's for sure.no you should you should look at my time.oh wait a minute somewhere in here I've.got something like a hundred and eighty.six hours and I'm like yeah that's about.right.so I the time has been entered I've.approved it now I'm going to shove it to.QuickBooks let me just open QuickBooks.and and and prove to you that I have not.entered any time in here anywhere.because I know people are gonna be like.there's no way that this is gonna be.that easy so this is for last week.February 3rd to February 9th that's time.that I've that's been entered in t.sheets and is going to come over into.QuickBooks.so here's Benjamin bulldozers empty.timesheet still just so you know that.we're like really empty so let me come.back to T sheets.dee dee and sorry I've got so many.windows open that if I don't tell myself.which one I'm doing I'm gonna forget.something so here in TSheets I'm going.to export all of my approved time and it.says proceed with the export and I'm.gonna say yep I'm exporting all these.hours if you target how many hours for.how many employees awesome yeah I mean.this is really cool and I will tell you.this is so much better than getting all.of those muddy icky handwritten.timesheets that you have to track.somebody down in order to decipher what.they know they meant and you sit there.and scratch your head over you.uh-oh Cinque encountered errors view.logged for detail.so those tea sheets in tea sheets you.can make notes correct do those do those.notes transfer to QuickBooks yes however.I didn't put any any that's okay I was.just at putting it out there so people.knew can you use tea sheets for like.professional services like say architect.murmur oh absolutely yeah you could use.it at Dennis I'm using it okay this was.this was user error.Sam supervisor it's exporting one hour.of overtime as regular because I didn't.have an overtime payroll item assigned.so that was me.figures okay so I'm gonna that was Molly.manual right yeah that was Molly manual.because by golly you know she's looked.at this crud so many times that she.don't know what's going on and and that.was that was really the way I used to.feel so over here in QuickBooks I'm.gonna sink it and go get my tea sheets.time and this is going to go and grab.all of that time it's a two-step process.you send it out of T sheets via sync.manager and then you turn around and you.go get it with QuickBooks using sync.manager and actually I mean it's it's.pretty I mean it's pretty fast of course.this is a little QuickBooks file too and.I'm really not doing 125 employees but.okay so our sync is complete let's go.look at Benjamin and look at that now.he's got ours.today those came right down from tea.sheets so like I like that if you put a.note in there and T sheets it shows up.in the note section on the timesheet.yeah okay that's really helpful and I'm.just going to grab this and and fix.Sam's supervisor he's a he's a okay and.really it's a good thing I'm doing.payroll today cuz man today's payday for.these guys.painting I don't know either.okay so I'm gonna start my scheduled.payroll to nine to twelve and I'm going.to open my paycheck detail first thing I.get is a notice that all these taxes the.limits have been met you can see all my.union dues and my Union fringes are.automatically being tracked I'm going to.come in and I'm going to accrue my.general liability insurance and it's.three point five percent of gross wages.so I'm going to enter that and then.that's going to accrue as well wonder.why Betty stuff didn't come in that's.gotta be a D&C error - she's not a hard.enough worker well you know is she.should be but she she she really wasn't.this week now.with Betty I did something a little.different because everybody wants to.allocate.clerical or office payroll - overhead.and you can't split things like that.easily in QuickBooks so right now I'm.running down through and I'm doing an.allocation yeah.bear with me obviously I cannot talk and.do payroll at the same time and I never.did that when I was actually out there.in the field either it was like I would.lock myself in a closed room and I would.do my thing and if people wanted me for.something man they better tread.carefully.so there's Betty stuff all allocated and.I'll show you what that looks like I'm.gonna disrupt you again okay I noticed.you're using the accountants version yep.this can be done with any version.payroll right pro premier enterprise.crap I just see I shouldn't have.interrupted you I'm sorry no you.shouldn't have.Betty's not gonna come after me is she.darn straight she is I will I'm when we.get off this I'm gonna give her your.home phone number.goggle lighting up here in the office is.horrible.oh yes and Sam's always fun one four.three seven five six.okay so there's everybody's paycheck and.109 seven so now we're going to continue.we're going to create our paychecks and.when we go and look at a company.financial profit & Loss standard and do.it just for today.of course what is today you can see that.we have a fully job costed as well as.segregated payroll.here's Betty's expenses below the line.and here's everything to do with our.field payroll up in cost of goods and.that slick I mean this this is just in.the in the employees or the contractors.who are using t sheets they are able to.assign themselves to the working on.whatever job and all that flows through.write it correct and and as an.administrator you can go in and you can.literally say when Tammy trekker works.on this job she's always under this.service item so it's a no-brainer for.the employee all they have to do is you.know I mean it.they they they turn on their t-shirts.app they hit it it clocks them in it.recognizes where they are with the GPS.maybe like not to the exact pin dot.although it's even up here it's pretty.good I mean it found me and my road.didn't give me my street number but it's.the closest that any automated thing has.ever come to like really finding me and.I thought oh god I've had it now but you.know if you're in in a in a better.bigger more populated area.it's it's certainly a lot better so I.mean that they they don't have to do.anything I mean they can select the job.that they're working on and say you know.I'm clocking in and it automatically.pulls in that service item or that cost.code so now comes the fun part we're.going to go and hey Gina made it now.we're going to run certified payrolls.and I'll tell you this too is so much.easier than what I ever used to do you.just come in to run certified payroll.I'm gonna advance the dates this is the.summer software this is this is my baby.I'll treat her nice god no beat the crap.out of it I do.all right then okay so it's connected to.QuickBooks it's read information from.timesheets jobs employee records and.payroll transactions it knows about.everything so it's not going to have you.add any missing pieces and we're just.going to go and generate here's three.certified payroll reports I'll give you.a preview okay.hold on a second let me get this big.enough so that you can actually see and.tada no more one at a time.you know three jobs that require.certified payrolls all three certified.payroll reports in a batch bang they're.done sweet and all that's done from and.and I mean setup is key but basically.it's from the employee clocking in the.manager just going to sink sink sink yep.yep you know I mean it's down saying as.a payroll clerk who has to enter.timesheet data that is really more.time-consuming than actually processing.payroll when you remove that task from a.person who should be concentrating on.getting the paychecks out the door.getting the certified payrolls you're.gonna a have a much happier employee and.it's going to be a lot more faster and.efficient because I mean she's not going.to have to go track down a supervisor on.a job site and say.hey you know I need you to come to the.office I can't read your handwriting you.know you you put Jose down on this job.well we've got four Jose's which one is.it yeah that never happens so Gina's.asking what happens if an employee.doesn't enter a job when he should well.if he has one of the apps whether it be.Android iPad iPhone the GPS is going to.come up and wet and I'm pretty sure it.automatically selects the job if it if.it can zero in that close if not the GPS.tracking information is up in t sheets.and when the supervisor or the.administrator goes in they can select.that job before the time goes in and for.approval if I'm not mistaken I believe t.sheets if you set it up right requires.that you what job are you at yes it it.will scream at you if you you don't have.something in there that you should and.it and if you set it up right it won't.let you save your time so you know I.mean it all depends on how you set it up.so now I've got an EEOC report now an.EEOC we're gonna do this one with mixed.race is a hold on because like we've.already discovered Nancy really can't do.two things at once it's usually for an.entire month it wants to know your work.force that is broken down by.employee work classifications some of.them want how many hours were worked.others want to know and and and then.everything is broken out by male female.and ethnicity so this just went through.and in the entire month of January.timesheet and payroll data now there are.certain things that QuickBooks doesn't.track for a job such as its County.location and its percent complete so you.enter that here and we're gonna say it's.five percent complete and oh it's not.shared I'm sorry Gina I thought I told.it I did it's the hot flashes hey you.know I'm sure it is it doesn't want to.share this all right hold on let me.it'll do weeks it better do Excel so.there is your EEOC report yep so it.wants to know total employees that were.male total that were female whether they.were black african-american blah blah.blah so again that was for an entire.month a whole heck of a lot better than.having to go back and look through all.of that and that took all of what three.minutes seconds yeah I mean literally.seconds so the last thing oops it's back.here so I can give more tasks to more.Malik in tonight.yes you know I mean Molly's gonna be a.much more productive employee and she'll.like her job better oh yeah she won't be.looking for the next best thing coming.down the pike that doesn't have payroll.okay oh my god.sorry it's still previewing EEOC reports.but it keeps flashing up in Excel so the.last thing I need to do to make this.whole little process complete is it's.also time to submit Union fringes and.union dues for the previous month so let.me just see what's going on with.certified payroll here in the background.I got to minimize this for a second.there we go I'll also tell you that.having a vision problem having all of.these screens open just drives me insane.let me talk just a little bit about.union dues and Union fringe benefit.reports we got 50 states we got umpteen.gazillion unions that sunburst is not a.member of therefore we cannot get the.report layouts so what we did in.certified payroll was let you design.your own reports and it starts out with.an a simple Excel spreadsheet and you go.in and map the data and the rest is.history.so here I'm going to run my benefit.reports you're not sharing anymore.it switched a screen guess my husband.didn't design this to be caught on tape.so to speak can you share the whole.monitor well you know I have tried that.so many times and it doesn't it just.absolutely doesn't want to let me do it.it says select a window to show yeah I.notice it does that when I try it did it.with me when I tried to do that too.it wouldn't let me just show the entire.screen my entire monitor I had to pick.something and you know it sometimes it.drives me a little batty because I think.I'm not visually fast enough to like see.all this stuff now I love the Train um.so so that's what's caused it then.that's what's made you bad well it's one.of the things okay it's not gonna let me.share this initial screen but what I'm.doing is I'm running one I got three.different unions here okay so I'm.running one Union fringe benefit report.the screen is black and the screen is.black you frozen no oh no she is.thinking really hard oh good you know.okay I'll grumble later on I've even.lost my screen sweet.nothing well something okay I actually.have a fringe benefit report up so let.me come back here and let me share likes.Excel so here's one of my fringe benefit.reports and what this one does is it.wants to know the employees pay rate he.want his union local number number of.regular hours that he worked number of.overtime hours that he worked and then.gross wages for the period so I will.save all of these in Excel so that you.can actually see the nice yeah now in.that lovely so I'm going to save this.one to disk and then I'm going to go.back and I'm going to run my others so.sorry you guys just you guys won't see.this but I'm at you're running your.others okay here's here's my second.report so again when you stop and think.about those those fringe benefit reports.it's asking you how many hours each.employee worked so again it's going back.through the entire month of January x'.timesheets and it's adding up all of.those hours now let me tell you that's.not something I'd wanna do anymore so.you don't want to come to Missouri and.help do tax work no you know today was a.really good day here's here.is report number three my garden seeds.came of course I've got a foot and a.half of snow on the ground and we're.supposed to get another big snowstorm.tomorrow so I'm definitely thinking.about spring and gardening and getting.outside and not tax work or really doing.certified payrolls or anything else a.client today said his first time he'd.been out in over a week.yeah it's it's bad I mean it really is.it's uh it's insane I know he's a he's a.landscape worker and he doesn't they.don't do snow removal so it snowed here.and he just stayed inside actually I.have a a new consulting client that I'm.working with and she's in Tennessee and.they were supposed to get 11 inches of.snow today yep and she said you know if.we get that much snow this girl ain't.going anywhere.yeah that global warming that stuff.doesn't work it's not I know that person.I know that person - what a million.wants they're trying to find them how.are you hi I made it dance carpool.complete cold I hope I'm not.interrupting.please carry on carry you're just.talking about snow oh wait what happened.I'm gonna have another snow some.tomorrow go ahead and chitchat I'm gonna.open all of these.lovely Excel spreadsheets that I just.created and we're gonna take a look at.them and then we're going to complete.the last part of the entire process and.that's going back and cutting payroll.liability techs out of QuickBooks and in.what 34 minutes I've downloaded time.from tea sheets I've issued paychecks.I've run my certified payroll reports.I've run my EEOC my fringe benefit.reports are all done and now I'm getting.ready to wrap up and Amy automation is.going home and have a drink after work.okay so now let me come back here and.screen share and let's go to all of.these lovely yeah and it will only let.me share one excel spreadsheet at a time.you're kidding you can't open all those.tabs No okay so first one we're gonna.look at is the Teamsters Local 2012.monthly employer contribution report and.if you need me to make this a little.bigger just let me know.can you see yes please I get my bifocals.and you might be able to make it bigger.but I mean I know what the forum is so I.kind of know what it says that's not.fair.no it's not there it is.okay so again this in all of these union.contribution reports they are going to.be totally different this one wants to.know how many hours by week that the.employee were.okay so we get all of these hours by.week total of 182 hours and here's our.totals and again most of the union.reports are based on hours worked during.a specific period not hours paid and.that's something that's really important.when we go to QuickBooks and your.software does all this right yes it does.so here are the different fringe.benefits here's their rates here's the.number of hours here are the totals for.each fringe and this is the total that I.have to cut to the Teamsters Union and.that's just the fringe benefits who.wants that so oh crap sorry.yes yeah I've been trying to talk really.cool about tea sheets while she's been.trying to figure out where her screens.are you always do I so appreciate that I.know we're waiting for the webinar to.come up on Joe's site so that you can.hear yeah well I really do want to hear.what Matt said I mean I've I've gotten.I'm gonna say at least 30 emails or.contacts about it and I was like man.people were paying attention at least to.that part of it which I'm glad they were.there for some of it anyway sorry Nancy.yeah when I heard it I had to.double-check and like Boozman.the Bruce mcFarland I know.so here's here's a dues deduction for.the Teamsters and just just to clarify.these are really not forms from any.Teamsters these were forms that I have.created based on back when I was Molly.manual and and then some that we have.done for for customers so here we get.three different dues deductions again.they're all based on hours worked the.total for each specific dues deduction.and then the total remittance so just to.give you an idea of what they all look.like and I'm going to be asked one and.I'm gonna be silly here your software.will create what you need in Excel so.you have the right kind of report right.absolutely that's just awesome.all of these started out and and I will.I will let me let me pick a good one you.know you know there's only three.products in this whole world of the.world that I'm in that I boast and two.of them are right here.Thanks thank you.I love the feedback that we've gotten.from everyone who's using it the pros.especially because it's really driving.some of the the changes to our little.you know added functionalities that we.wouldn't know of unless we hear about it.from our pros like Crump drop-down list.on the time cards mm-hmm okay here's.here's another funky one no I didn't.forget.oh is this this chair.twice in in the screenshare thing and it.drives me a little cuckoo yes I get lost.in my screens all the time oh my god and.it's like they shift I know there has to.be a better way identifier that Google.could come up with you would think okay.this one is a look this one is the one.that I used to have to do it wanted to.know regular hours overtime hours and.down time hours now down time could be.anything from a holiday where in.addition to getting a union fringe.benefit for holiday you also had to pay.the guys eight hours worth of holiday.pay so they wanted to know regular or.straight time downtime and overtime.hours and now when you come down to the.bottom look at this they're not happy.with one check you gotta cut three.different checks one to the Health and.Welfare Fund one to the vacation fund.and one to the holiday fund and they.calculate them differently so the.vacation fund it's the total of all.hours worked so that's all the straight.time overtime and downtime the other two.it's just based on hours worked straight.time and regular no I mean can you.imagine going and and doing all this.stuff by hand yes I was insane yes.that's why I'm the old pro so now I'm.gonna close all these and what I'm gonna.start with is just my I how I actually.started the whole process for designing.my hold on.okay don't say here I was worried about.not paying attention in JC Jesse's off.in another world somewhere Jackson got.like Jessie has like four computers I.saw I could not stand it I'm telling you.you can see the trouble that I have with.all of these it's been a long time since.those breeds might hear that hard this.is my Aki the IKEA store the one that.wants regular downtime in overtime I.started out with just an Excel.spreadsheet and this was all that I put.in it everything else I went into the.benefit reporting module and I said I.want to map this so I mean it it takes.it's almost like programming and believe.it or not this is the kind of stuff that.we did with each and every one of the.certified payroll reports that this.program produces we started with a blank.Excel spreadsheet and then went in.programmatically.and said you know employee one goes in.he has four rows which would be his name.his address city state and zip and.Social Security number and in the first.block you would have his name then.second one was address and and we did.all of that programmatically with the.benefit reporting module because they.are so.varied you can go in and you can.actually do all of this mapping of data.jesse try not to laugh too hard she's.trying real hard to bite her lip too so.the last thing that we're gonna go.that's better if I only got like two.different windows that I could possibly.share out of QuickBooks now back to the.absolute last part of the whole process.and that's going in and paying our.liabilities now I would remember I said.really big difference between how the.two programs calculate those unions want.everything based on hours worked for a.month.QuickBooks accrues all of these.liabilities based on hours paid so that.first paycheck in January had December.hours on it and that first paycheck in.February had January hours in it so you.can't just come in here and just say oh.okay I've got you know five thousand.three hundred and eighty four dollars.and eighty cents to send to the.operators pension fund you really have.to work off those reports generated at a.certified payroll and then you come in.and you do a custom payment and then you.want to do your one one 2014 - whatever.that first paycheck was in February.which would have been the fifth and then.based on those reports you come in and.you enter.the dollar amounts so this is where it.gets tricky because you've got two.programs that are essentially doing the.same thing but they're doing they're.calculating them and accruing them.differently so you want to make sure.that you you know you always come in and.pay your liabilities after you've run.your benefit reports so the last thing.I'd have to do is cut let's see one two.three four five six seven checks and.certified payroll would be done okay.absolutely over done with in less than.an hour in less than an hour with a lot.of laughing and giggling so we went from.over five hours we went from over 40.hours to an hour yep mmm.all because of tea sheets and sunburst.software yeah.such a great combo absolutely so why the.last things you know anybody who says.you know my payroll processes and.certified payroll processes are totally.efficient let's look at some costs okay.as Molly manual spending more than 40.hours a week I put it as just 40 at $18.an hour with 720 dollars a week plus.taxes at 18 percent for eight hundred.and forty nine dollars and sixty cents a.week just to run payroll just to run.payroll and chase people down okay times.52 weeks yep.and I even went back and I went digging.and pro 99 was $219.95.back in 1998 a payroll subscription was.$72 but it also did not do.any where near as many things as it as a.payroll subscription does today so.you're looking at almost forty five.thousand dollars a year just to run.payroll okay just to run payroll Wow.okay.let's fast forward okay amy automation.she's spending eight hours in a week.eighteen bucks an hour one hundred and.sixty nine ninety two to run payroll we.got in and Jesse you're going to have to.correct me if I'm wrong on this I went.to the website and this is kind of what.I came up with one night bleary-eyed.that a TC T sheets subscription for five.users was like forty five bucks a month.yes yeah that's right and but if you are.sign up with a pro coupon it's ten.percent less than that and if you do an.annual subscription its twenty percent.less so you could really get those costs.down hook you up front cost certified.payroll is three hundred and ninety five.dollars now let's go to look at annual.cost okay we've got a total of ten.thousand one twenty five seventy nine to.run payroll for a year and she's gonna I.mean there's there's still four days a.week that she could go be a much more.productive person active part of your.business.not to mention she'd be happier yeah you.know so I mean and a lot of business.owners say well you know I'm gonna she's.gonna be here 40 hours a week anyway so.you know I'm just gonna pay her and yes.my processes are totally efficient.because she's not having to hand write.all this she's using Excel to automate.it okay my response to that is.I mean when you stop about time.energy efficiency productivity those.things are way more valuable than.anything because if you're certified.payroll reports are wrong you're not.going to get paid so I mean we've we've.removed all of that duplicate triplicate.God knows how many of data entry you.know the time tracking is put back to.the employee and it's all automated or.you can outsource this to an outsourced.person and then you don't have that.liability absolutely well not to mention.because you've streamlining the process.you've eliminated a lot of the errors.that could happen because absolutely I.mean to think about you've got this this.audit trail now you have the reports.from the certified payroll solution you.have the reports from TSheets sides have.you ever had to go back and check it.it's not hours and hours and hours of.trying to gather all of those manual.documents and hear me so so that was.that First, the LLC operates as tax partnership (“TP”) as the default tax status if no election has been made as noted in Treasury Regulation Section 301.7701-3(b)(i). For legal purposes, we have a LLC. For tax purposes we have a tax partnership. Since we are discussing a tax issue here, we will discuss the issue from the perspective of a TP. A partner cannot under any circumstances be an employee of the TP as Revenue Ruling 69-184 dictated such. And, the 2016 preamble to Temporary Treasury Regulation Section 301.7701-2T notes the Treasury still supports this revenue ruling. Though a partner can engage in a transaction with the TP in a non partner capacity (Section 707a(a)). A partner receiving a 707(a) payment from the partnership receives the payment as any stranger receives a payment from the TP for services rendered. This partner gets treated for this transaction as if he/she were not a member of the TP (Treasury Regulation Section 1.707-1(a). As an example, a partner owns and operates a law firm specializing in contract law. The TP requires advice on terms and creation for new contracts the TP uses in its business with clients. This partner provides a bid for this unique job and the TP accepts it. Here, the partner bills the TP as it would any other client, and the partner reports the income from the TP client job as he/she would for any other client. The TP records the job as an expense and pays the partner as it would any other vendor. Here, I am assuming the law contract job represents an expense versus a capital item. Of course, the partner may have a law corporation though the same principle applies. Further, a TP can make fixed payments to a partner for services or capital — called guaranteed payments as noted in subsection (c). A 707(c) guaranteed payment shows up in the membership agreement drawn up by the business attorney. This payment provides a service partner with a guaranteed payment regardless of the TP’s income for the year as noted in Treasury Regulation Section 1.707-1(c). As an example, the TP operates an exclusive restaurant. Several partners contribute capital for the venture. The TP’s key service partner is the chef for the restaurant. And, the whole restaurant concept centers on this chef’s experience and creativity. The TP’s operating agreement provides the chef receives a certain % profit interest but as a minimum receives yearly a fixed $X guaranteed payment regardless of TP’s income level. In the first year of operations the TP has low profits as expected. The chef receives the guaranteed $X payment as provided in the membership agreement. The TP allocates the guaranteed payment to the capital interest partners on their TP k-1s as business expense. And, the TP includes the full $X guaranteed payment as income on the chef’s K-1. Here, the membership agreement demonstrates the chef only shares in profits not losses. So, the TP only allocates the guaranteed expense to those partners responsible for making up losses (the capital partners) as noted in Treasury Regulation Section 707-1(c) Example 3. The chef gets no allocation for the guaranteed expense as he/she does not participate in losses. If we change the situation slightly, we may change the tax results. If the membership agreement says the chef shares in losses, we then allocate a portion of the guaranteed expense back to the chef following the above treasury regulation. As a final note, a TP return requires knowledge of primary tax law if the TP desires filing a completed an accurate partnership tax return. I have completed the above tax analysis based on primary partnership tax law. If the situation changes in any manner, the tax outcome may change considerably. www.rst.tax
