hi everyone this is shawna tarosa reacts.executive officer.and this is my desk in this monthly.video cast i.answer questions that are coming across.my desk every single day.and this one is a bit of a timely topic.and one of the questions that i.keep on getting asked is has real estate.been deemed as an essential or a.life-sustaining industry in the state of.pennsylvania.so this is a tough question to answer.so i'm just going to break it down by a.couple of things but first my.disclaimers.number one is as you know i'm not an.attorney and i do not play one on tv so.this is not.a legal interpretation but an.interpretation of what we're hearing.from our leadership at the pennsylvania.association of realtors.number two is that we are recording this.video.today is actually august 13th when i'm.recording it so if anything has changed.since august 13 2020 this is what we.know to be accurate as of this date and.time.so here's what we know is that.when the pandemic covet 19 hit.our country in pennsylvania in.march the governor declared emergency.shutdown orders and that any non-life.sustaining.or non-essential business needed to.cease their in-person operations.unfortunately at that time.real estate was deemed as a.non-life-sustaining industry and you.weren't able to do.any type of in-person real estate.activity.through the lobbying of the pennsylvania.association of realtors and also.here at rayac we were able to.successfully discuss the issue of why.real estate is in pert.is so important to our overall economic.recovery as well as to individuals who.need houses.and we were able to get the governor to.issue an executive order on may 19th.so what that order states is it doesn't.declare that real estate.is a life-sustaining industry in.pennsylvania.what it did declare was that under those.executive orders if you lived in a red.phase or a yellow face county you could.do.in-person real estate activity in those.counties under certain provisions.you could have more than three people in.the in the home at any one time you.couldn't.access the property without wearing the.appropriate face coverings.and you were prohibited from doing open.houses and a few.other things that were in place as of.may 19th.so that executive order did not declare.that real estate is considered a.life-sustaining industry but.i think more importantly is that the the.administration in pennsylvania did start.off with this list of what was.considered essential and non-essential.and that determined who could do what.when.but really the administration of.pennsylvania has.has shifted a little bit in terms of how.they're handling these issues now.so they're even though there are.industries that are considered.life-sustaining or essential in the.state of pennsylvania.they still have specific restrictions.currently so.the governor has been taking this more.on an industry by industry case basis so.for example restaurants restaurants are.considered a life-sustaining industry.however as many of you know there are.there are really prohibitive.restrictions over what restaurants can.and cannot do at this time period so.what happens if york and adams counties.were to shift back from a green face.county.into a yellow or a red-faced county.again.can you still operate and do in-person.real estate.well and i think the answer to that.question is really up to you.the administration continues to look at.each industry.and to see what are the changes that.need to be made to ensure that.public health and safety is being taken.care of.so i would encourage all of you to.continue to make sure.you are adhering to the social.distancing guidelines.when you're showing properties make sure.you're wearing the face coverings.make sure you're keeping that six feet.of distance and not to have large.gatherings.in the homes that are listed for sale so.it is really up to all of us.to ensure that even if.the administration deems york and adams.county to go back.into a yellow phase or a red phase that.you can still do in person real estate.activity.hopefully at least under the guidance.that of the executive order that was.issued on may 19th.so bottom line it's up to you you want.to keep operating and doing in-person.business.make sure you're taking the steps to.ensure that you're doing it safely and.preventing the spread.of covet covid19 thanks so much and i.hope you have a wonderful day.

As one of the cofounders of a multi-member LLC taxed as a partnership, how do I pay myself for work I am doing as a contractor for the company? What forms do I need to fill out?

First, the LLC operates as tax partnership (“TP”) as the default tax status if no election has been made as noted in Treasury Regulation Section 301.7701-3(b)(i). For legal purposes, we have a LLC. For tax purposes we have a tax partnership. Since we are discussing a tax issue here, we will discuss the issue from the perspective of a TP. A partner cannot under any circumstances be an employee of the TP as Revenue Ruling 69-184 dictated such. And, the 2016 preamble to Temporary Treasury Regulation Section 301.7701-2T notes the Treasury still supports this revenue ruling. Though a partner can engage in a transaction with the TP in a non partner capacity (Section 707a(a)). A partner receiving a 707(a) payment from the partnership receives the payment as any stranger receives a payment from the TP for services rendered. This partner gets treated for this transaction as if he/she were not a member of the TP (Treasury Regulation Section 1.707-1(a). As an example, a partner owns and operates a law firm specializing in contract law. The TP requires advice on terms and creation for new contracts the TP uses in its business with clients. This partner provides a bid for this unique job and the TP accepts it. Here, the partner bills the TP as it would any other client, and the partner reports the income from the TP client job as he/she would for any other client. The TP records the job as an expense and pays the partner as it would any other vendor. Here, I am assuming the law contract job represents an expense versus a capital item. Of course, the partner may have a law corporation though the same principle applies. Further, a TP can make fixed payments to a partner for services or capital — called guaranteed payments as noted in subsection (c). A 707(c) guaranteed payment shows up in the membership agreement drawn up by the business attorney. This payment provides a service partner with a guaranteed payment regardless of the TP’s income for the year as noted in Treasury Regulation Section 1.707-1(c). As an example, the TP operates an exclusive restaurant. Several partners contribute capital for the venture. The TP’s key service partner is the chef for the restaurant. And, the whole restaurant concept centers on this chef’s experience and creativity. The TP’s operating agreement provides the chef receives a certain % profit interest but as a minimum receives yearly a fixed $X guaranteed payment regardless of TP’s income level. In the first year of operations the TP has low profits as expected. The chef receives the guaranteed $X payment as provided in the membership agreement. The TP allocates the guaranteed payment to the capital interest partners on their TP k-1s as business expense. And, the TP includes the full $X guaranteed payment as income on the chef’s K-1. Here, the membership agreement demonstrates the chef only shares in profits not losses. So, the TP only allocates the guaranteed expense to those partners responsible for making up losses (the capital partners) as noted in Treasury Regulation Section 707-1(c) Example 3. The chef gets no allocation for the guaranteed expense as he/she does not participate in losses. If we change the situation slightly, we may change the tax results. If the membership agreement says the chef shares in losses, we then allocate a portion of the guaranteed expense back to the chef following the above treasury regulation. As a final note, a TP return requires knowledge of primary tax law if the TP desires filing a completed an accurate partnership tax return. I have completed the above tax analysis based on primary partnership tax law. If the situation changes in any manner, the tax outcome may change considerably. www.rst.tax
