partner for your business in.today's lesson we're going to continue.that series with a look at one of the.most important parts of a successful.business partnership the partnership.agreement so let's get started a.partnership agreement serves many.purposes two of the most important of.which are getting everyone on the same.page about dispute resolution and.business structure every relationship.has disagreements and this is especially.true in relationships where lots of.decisions have to be made a carefully.crafted partnership agreement allows you.to outline how disputes are going to be.handled ahead of time instead of in the.heat of the moment the process of.putting together a partnership agreement.also forces everyone to think about and.get on the same page about how the.business is going to be structured and.run from the beginning this minimizes.misunderstandings down the road and.hopefully prevents many issues from.occurring at all should you use a lawyer.to put together your partnership.agreement if you can afford it it's.almost always a good idea to have an.attorney involved with your business.agreements however most attorneys are.going to bill you by the hour and likely.do not have the same level of knowledge.about your partners that you do because.of this it's always better to have a.good outline of what you want in the.agreement before speaking to a lawyer if.you cannot afford an attorney then I've.linked to a resource page in the.description section of this video which.includes some free templates here's an.overview of the elements that every.partnership agreement should contain the.name of the company and any other names.that the company will be operating under.a statement of the company's purpose.which generally you want to keep fairly.broad so you have the flexibility to.adapt responsibilities decide who's.going to be responsible for which parts.of the business as discussed in our.video on how to find the right business.partner at a minimum you need a partner.involved with delivering your product.and/or service selling and marketing.finances and management lists out any.other areas that need to be.bird and decide who is going to be.broadly responsible for those areas how.will the workload be shared answer the.following questions our partners.expected to work set hours does one.partner plan on working more or less.than the other partners how much.vacation is allowed.will this be a full-time role for each.partner or our partners allowed to.conduct other types of business outside.the partnership if so then what other.types of business are they allowed to.conduct next you want to determine what.each partner is bringing to the business.in terms of cash investment physical.property and intellectual or other types.of property once you've listed.everything out you'll want to discuss.what restrictions if any there are in.those assets compensation this section.should answer the following questions.will partners receive a salary if so how.much and when if a partner is taking.less salary initially will this be made.up in the future do you plan on.reinvesting profits back into the.business if so at what point do you plan.on taking out profits how and when will.profits be divided up amongst the owners.if this is based on ownership see the.next step.how will losses be handled now that.you've decided on responsibilities.workloads and which partners are.contributing what to the business you.can come to an agreement on how.ownership is going to be shared in the.business I've included two resources for.how to cover ownership splits in the.resources link in the description of.this video.business authority this section should.answer the following questions contracts.does each partner have the authority to.sign contracts on behalf of the business.debt is the business going to have a.credit line keep in mind that depending.on the business structure that you.choose each partner may be personally.liable for this spending does the.partner have the ability to make.purchases without consulting the other.partners generally there is a limit that.is set and the agreement above which.point the partner must obtain permission.from the other partners partner death or.disability what happens if a partner.dies or becomes unable to participate at.the same level because of a disc.loyalty most business owners probably do.not want their deceased partners heirs.to be their new business partners to.prevent these types of issues a buy-sell.agreement should be included I've.included a resource for crafting.buy-sell agreements on the resources.page which is linked to in the.description of this video.partner exit answer the following.questions what happens if a partner.wants to leave the partnership and.pursue other interests under what.circumstances can a partner be forced to.leave the business partner disputes.being able to discuss and come to an.agreement on the differences of opinion.that will arise in any business is a.must for any good partnership however.there will be times in even the best.partnerships we are not able to come to.an agreement on a specific topic here.are some ways that can be handled the.CEO has the final say.when partner has the final say on a.particular part of the business for.example on hiring and firing disputes it.may be the CEO for product development.disputes the partner in who is in charge.of product may have the final say a vote.based on ownership partners agree to use.an outside mentor to resolve disputes.Partners agree to use an outside.advisory board other for more formal.options our mediation arbitration and.then finally litigation under what.circumstances can the business be sold.this likely goes back to the buy sell.agreement that's our video for today if.you have any questions or comments.please feel free to leave them in the.comment section below also be sure to.stay tuned for As one of the cofounders of a multi-member LLC taxed as a partnership, how do I pay myself for work I am doing as a contractor for the company? What forms do I need to fill out?

First, the LLC operates as tax partnership (“TP”) as the default tax status if no election has been made as noted in Treasury Regulation Section 301.7701-3(b)(i). For legal purposes, we have a LLC. For tax purposes we have a tax partnership. Since we are discussing a tax issue here, we will discuss the issue from the perspective of a TP. A partner cannot under any circumstances be an employee of the TP as Revenue Ruling 69-184 dictated such. And, the 2016 preamble to Temporary Treasury Regulation Section 301.7701-2T notes the Treasury still supports this revenue ruling. Though a partner can engage in a transaction with the TP in a non partner capacity (Section 707a(a)). A partner receiving a 707(a) payment from the partnership receives the payment as any stranger receives a payment from the TP for services rendered. This partner gets treated for this transaction as if he/she were not a member of the TP (Treasury Regulation Section 1.707-1(a). As an example, a partner owns and operates a law firm specializing in contract law. The TP requires advice on terms and creation for new contracts the TP uses in its business with clients. This partner provides a bid for this unique job and the TP accepts it. Here, the partner bills the TP as it would any other client, and the partner reports the income from the TP client job as he/she would for any other client. The TP records the job as an expense and pays the partner as it would any other vendor. Here, I am assuming the law contract job represents an expense versus a capital item. Of course, the partner may have a law corporation though the same principle applies. Further, a TP can make fixed payments to a partner for services or capital — called guaranteed payments as noted in subsection (c). A 707(c) guaranteed payment shows up in the membership agreement drawn up by the business attorney. This payment provides a service partner with a guaranteed payment regardless of the TP’s income for the year as noted in Treasury Regulation Section 1.707-1(c). As an example, the TP operates an exclusive restaurant. Several partners contribute capital for the venture. The TP’s key service partner is the chef for the restaurant. And, the whole restaurant concept centers on this chef’s experience and creativity. The TP’s operating agreement provides the chef receives a certain % profit interest but as a minimum receives yearly a fixed $X guaranteed payment regardless of TP’s income level. In the first year of operations the TP has low profits as expected. The chef receives the guaranteed $X payment as provided in the membership agreement. The TP allocates the guaranteed payment to the capital interest partners on their TP k-1s as business expense. And, the TP includes the full $X guaranteed payment as income on the chef’s K-1. Here, the membership agreement demonstrates the chef only shares in profits not losses. So, the TP only allocates the guaranteed expense to those partners responsible for making up losses (the capital partners) as noted in Treasury Regulation Section 707-1(c) Example 3. The chef gets no allocation for the guaranteed expense as he/she does not participate in losses. If we change the situation slightly, we may change the tax results. If the membership agreement says the chef shares in losses, we then allocate a portion of the guaranteed expense back to the chef following the above treasury regulation. As a final note, a TP return requires knowledge of primary tax law if the TP desires filing a completed an accurate partnership tax return. I have completed the above tax analysis based on primary partnership tax law. If the situation changes in any manner, the tax outcome may change considerably. www.rst.tax

As a child removed from their parent's care, due to abuse, and put in some sort of foster care, how did things work out for you in the end?

If a child is removed from their home due to abuse and placed in foster care there would be no choice on their part to remain or not. The outcome of their time in foster care will be different for each child. Some kids end up in amazingly supportive and stable homes, with families who take them in as their own. Other foster situations are disfunctional, unstable and may not be any better than what the child was removed from. Most fall somewhere in between with different levels of acceptance, stability, and nurturing care. Depending on the unique personality of the child removed, the abuse receiv Continue Reading

I've created marketing plans for brands such as Tide and Braun. Here are a few things we consider at P&G. Definitely not a prescription, but just a thought starter 1. Are you trying to market a particular product line? 2. Who is the target for your plan? You are going to market to 18-24 year olds a lot differently than somebody within the 30-50 age group. 3.
